Agreement Details

Summary

We will always do our best to fulfill your needs and meet your goals, but sometimes it’s best to have a few things written down so that we both know what’s included, who should do what, and what happens if something goes wrong. In this agreement, you won’t find complicated legal terms or long passages of unreadable text. We have no desire to trick you into signing something that you might later regret. We do want what’s best for the safety of both parties, now and in the future. Please note, these Terms & Conditions go into effect when you sign up and your first payment is made. In short

You (client), are hiring us (Integrity eMarketing Solutions, Inc.) located in Minocqua, WI 54548 to perform digital marketing duties as outlined in this agreement. As our client, you have the power and ability to enter into this agreement on behalf of your company or organization.

Mutual Agreement

You (client) agree to provide us with everything requested during software onboarding or additional set up meetings. You also agree to adhere to the payment schedule by keeping an active credit card on file. Please have all logins and other requested material ready for these meetings. Specific work done outside of the software itself is outlined in the pricing page of this website. This typically includes system management and content creation depending upon the plan selected. CAN-SPAM Act

You understand that it is our collective responsibility to ensure that emails remain in compliance with CAN-SPAM laws: business address is correct and displayed on all emails sent, no unsolicited, purchased, or opted out emails will be sent, and an opt-out option is available on all emails sent through our system.

Confidentiality

We will at all times safeguard and respect your proprietary information. All contact information including but not limited to email addresses and telephone numbers are the express property of client without exception and we will not make use of such information or divulge information to a third party for any reason. Other examples include intellectual property, financial information, vendors, campaign creatives and content, website design, social media content, etc. Our principals ask the same in return if our company has proprietary information divulged to your company inadvertently or on purpose. Our system is HIPAA compliant.

Copyrights

You guarantee to us that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide us or upload into the system yourself for inclusion in the website and campaigns are either owned by yourselves, or that you have permission to use them.

Guarantee

We offer a Return on Investment (ROI) guarantee if we do not provide enough appointments to cause your return on investment to be at least 100%, we will continue to work on your campaigns until we do accomplish this goal for no additional retainer; in some cases, retainers may be refunded at management's discretion. Legal stuff

Although the language is simple, this is your official agreement for services and is a legal document under exclusive jurisdiction of the courts of Vilas County, WI. We promise to provide the services and software as indicated on this site's pricing page in accordance with the plan that was chosen and paid. You will be responsible for ad spend, AI content creation, texts and emails over the allotted credits of your plan along with any other additional work. We can not guarantee that the functions contained in any web page (within the software) or in a completed website will always be functioning properly as hacking and technical difficulties do sometimes occur. We can not be held liable to you or any third party for damages, including lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate this software and any other web pages, even if you have advised us of the possibilities of such damages. All subscriptions and other amounts paid are non-refundable unless the work contracted was not completed. The 100 patients in 120 days does require a minimum ad spend of about $40 per day and may be less or more depending upon ad prices and factors specific to your business and will be made aware by our team the spend necessary for a successful campaign. $35 per day is what is successful for most campaigns in our niche. If this is not possible, the guarantee is not valid. Unusual set up situations such as payment at time of scheduling an appointment or other situations that our team advises against will not be covered under our guarantee. The use of any coupons or discounts also voids the guarantee. This agreement takes effect immediately after the first payment is made. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Recurring Charges

A credit card payment will be processed every month on the anniversary date of the first payment. You may cancel your subscription at any time by sending an email to [email protected] up to 30 days before the payment is set to occur.
